Ambassador Program Terms & Conditions

These Terms and Conditions (the "Terms") govern your participation in the Hooks & Needles Ambassador Program (the "Program"). Hooks & Needles is a brand operated by Mrs Quilty B.V., a company registered in the Netherlands ("we", "us", "our", or the "Company"). By submitting an application and by taking part in the Program, you ("you", "your", or the "Ambassador") confirm that you have read, understood, and agree to these Terms.

01 The Program

The Program is an ongoing, non-exclusive collaboration under which you create and publish promotional content featuring our products and brand. Each specific collaboration or campaign (a "Campaign") may be agreed separately in writing, including by email, and may set out the scope, number and type of deliverables, formats, timelines, and posting requirements. These Terms apply to all current and future Campaigns under the Program unless we agree otherwise in writing.

02 Content & deliverables

When you take part in a Campaign, you agree to:

• create and publish the agreed content featuring our products in line with the brief, brand guidelines, and any reasonable instructions we provide;
• submit content for our review and approval before publication where we request this, and make reasonable revisions needed to meet our quality and brand standards;
• ensure all content is original, accurate, and your own work, and that you have all rights and permissions needed for any people, music, or materials featured;
• produce content in English unless we agree otherwise in writing;
• keep published content publicly available for at least twelve (12) months after publication; and
• where requested, tag content as a paid partnership and grant the permissions needed for us to boost, whitelist, or otherwise promote it through platform tools.

03 What you receive

In return for delivering the agreed content, we will provide you with our products and/or subscription boxes free of charge, as confirmed for the relevant Campaign. We will cover the cost of these items, sent to you in exchange for your content. Where offered, you may also receive your own discount code to share with your audience.

Unless we expressly agree otherwise in writing, the free products and/or subscription boxes constitute full and final compensation for your content and for all rights granted to us under these Terms. No monetary compensation is owed unless agreed in writing. We are under no obligation to continue providing free items if you do not deliver the agreed content or otherwise breach these Terms.

04 Ownership and use of content

To the fullest extent permitted by applicable law, you assign to the Company all intellectual property rights in the content you create featuring our products or brand under the Program, so that such content belongs to us.

To the extent any rights cannot be assigned, you grant us a perpetual, irrevocable, worldwide, royalty-free, transferable, and sub-licensable licence to use, reuse, edit, modify, adapt, reproduce, distribute, display, publish, and promote that content, in whole or in part, across any and all media now known or later developed, including without limitation social media, paid advertising, our websites and landing pages, email marketing, and other organic or paid promotional channels. You waive any moral rights in such content to the fullest extent permitted by law.

This ownership and licence continues forever and survives the end of your participation in the Program. We may boost, whitelist, or promote your content through platform tools, including Paid Partnership features, and you agree to cooperate in good faith by granting any account permissions or approvals reasonably needed for this. No additional compensation is owed for any such use.

05 Positive portrayal & non-disparagement

You agree to present the Company, our brand, and our products in a positive and professional manner in all content and communications connected with the Program. You agree not to make any false, misleading, or disparaging statements about the Company, our brand, our products, or our business, including in relation to any products or boxes we send you, whether during or after your participation in the Program.

Nothing here requires you to make statements you do not believe to be true. If you are dissatisfied with a product or no longer wish to take part, you agree to raise this with us privately rather than publicly, and we will discuss whether to revise or end the collaboration.

06 Confidentiality

You agree not to disclose any confidential or proprietary information you receive from us, except where disclosure is required by law or the information is already public through no fault of yours. This obligation survives the end of your participation in the Program.

07 Independent status & disclosure

You take part in the Program as an independent party and not as an employee, agent, or partner of the Company. You are responsible for complying with all applicable laws, advertising standards, and platform rules, including clearly disclosing your relationship with us where required (for example, using paid partnership or advertisement labels).

08 Participation & termination

Participation in the Program is at our discretion. Either party may end participation at any time, for any reason, by written notice. If you fail to complete agreed deliverables or breach these Terms, we may remove you from the Program and discontinue any ambassador benefits. Any rights granted to us in content already created or published, and the obligations in sections 4, 5, and 6, continue in full effect after participation ends.

09 Liability

To the fullest extent permitted by law, the Company is not liable for any indirect or consequential loss arising from your participation in the Program. Nothing in these Terms limits any liability that cannot be limited under applicable law.

10 Changes to these Terms

We may update these Terms from time to time. The version published on our website at the time of your participation applies. Continued participation after any update means you accept the updated Terms.

11 Governing law

These Terms are governed by the laws of the Netherlands. Any dispute that cannot be resolved through good-faith discussion will be submitted to the competent courts of the Netherlands.
